Abstract. The article considers the problems of the regulation of top managers’ responsibility. The author suggests enlarging the list of official bodies, with whom fixed-term employment contracts can be signed, and also introducing other changes into the Labour Code in force concerning the sphere of the interrelations of juridical persons participants and top managers. The paper analyzes the possibility for the legislative restriction of the responsibility of the officials of juridical persons under the infliction of damage to the juridical persons headed by them. The researcher draws conclusions about the nature of the interrelations between the participants of a juridical person and top managers on the basis of using the juridical construction of the agency contract. The paper presents the examples of possible responsibility of top managers according to the legislation in force, including those caused by "derivative actions".
